Part A General Customer Terms
01 Definitions
"Company" means SHS Marketing Pvt. Ltd., registered under the Companies Act, 2013.
"Customer" means any individual or entity purchasing stationary products for personal or household use.
"Distributor" means an individual enrolled under the Company's Direct Selling programme to sell Products and build a sales team.
"Products" means all stationary goods, stationary-derived items offered by the Company.
"Order" means a confirmed purchase request submitted via official Company channels.
"Net Sales Value (NSV)" means the actual product sale price received from the end customer, excluding GST and logistics charges, on which commissions are calculated.
"Active Distributor" means a Distributor who has recorded qualifying product sales to end customers within the current rolling 90-day period.
02 Product Ordering & Delivery
2.1 Order Confirmation Orders are confirmed only upon written acknowledgement (email/SMS/WhatsApp) from the Company. Verbal commitments by field staff are not binding.
2.2 Delivery Timeline Standard delivery within 7–15 business days of confirmed order. Bulk or special orders will have timelines confirmed in writing at order placement.
2.3 Delivery Conditions The Customer must ensure an authorised person is available at the delivery address. Re-delivery charges may apply for failed deliveries due to Customer unavailability.
2.4 Risk of Loss Risk passes to the Customer upon delivery and acceptance at the delivery address.
2.5 Force Majeure The Company is not liable for delays caused by natural disasters, government restrictions, supply chain disruptions, or transport strikes. Customers will be promptly notified.
03 Pricing & Payment
3.1 Prices All prices are inclusive of applicable GST unless stated otherwise. Prices are confirmed at order placement.
3.2 Payment Modes Accepted via NEFT/RTGS/IMPS, UPI, or Account Payee Cheque in favour of "SHS Marketing Pvt. Ltd." Cash payments above ₹2,000 are not accepted per applicable tax law.
3.3 Payment Security The Company will never request OTPs, passwords, or CVV numbers. Report any such request to the official helpline immediately.
3.4 Invoice A GST-complaint invoice is issued for every transaction. Customers must retain invoices for returns or warranty claims.
04 Product Quality &
4.1 Storage Damage due to improper storage by the Customer does not qualify for a refund.
06 Customer KYC & Data Privacy
6.1 KYC Documents For bulk orders or credit accounts: Aadhaar Card (address proof), PAN Card (TDS compliance), and one additional government-issued photo ID.
6.2 Accuracy Fraudulent documentation results in immediate transaction cancellation and may attract legal action.
6.3 Data Privacy Customer data is processed solely for business purposes per applicable Indian data protection laws. The Company does not sell customer data to third parties without consent.
07 Grievance Redressal
7.1 Internal Complaints Complaints may be raised with the Grievance Officer at the registered office or official email within 30 days of the issue. The Company will respond within 10 business days.
7.2 Escalation Customers unsatisfied with the Company's response may approach the appropriate Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019.
7.3 Jurisdiction Subject to consumer protection laws, disputes shall be governed by courts at the Company's registered office location.
Part B Direct Selling & Distributor Terms
SHS Marketing Pvt. Ltd. operates its Direct Selling programme in full compliance with the Consumer Protection (Direct Selling) Rules, 2021 issued by the Ministry of Consumer Affairs, Government of India, and the Direct Selling Guidelines 2016 (as updated). All Distributors are required to read and comply with these rules.
08 Direct Selling Programme — Overview & Legal Basis
8.1 Governing Law This Direct Selling programme is governed by: Consumer Protection (Direct Selling) Rules 2021; Consumer Protection Act 2019; Indian Contract Act 1872; Income Tax Act 1961 (TDS on commissions); and applicable GST laws.
8.2 Nature of Business SHS Marketing Pvt. Ltd. is a Direct Selling Entity (DSE) selling stationary through a network of independent Distributors. The Company does not operate a money circulation scheme, pyramid scheme, or prize chit scheme as defined under the Prize Chits and Money Circulation Schemes (Banning) Act, 1978.
8.3 Income Source ALL income earned by Distributors is derived exclusively from the Net Sales Value of actual products sold to genuine end customers. No income is paid merely for recruiting new members.
8.4 Independent Contractor Distributors are independent contractors, not employees, agents, or partners of the Company. The Company is not liable for any representations, commitments, or actions made by Distributors beyond these terms.
09 Distributor Enrolment & Registration Fee
9.1 Eligibility Any Indian citizen aged 18 years or above with valid KYC documents may apply to become a Distributor.
9.2 One-Time Registration Fee A one-time registration fee is charged at the time of enrolment. This fee covers: Distributor welcome kit (product samples and marketing materials); access to the Company's online sales portal; and initial product training. The registration fee does NOT include any guaranteed income, reward, or investment return.
9.3 No Income for Joining The registration fee does not entitle any Distributor to commissions, bonuses, or rewards. Earnings commence only upon actual product sales.
9.4 KYC Mandatory Submission of the following is mandatory at enrolment: Aadhaar Card; PAN Card; cancelled bank cheque or bank passbook copy; and a passport-size photograph. Enrolment of minors or submission of fraudulent documents is strictly prohibited and will result in immediate termination and legal action.
9.5 No Inventory Loading The Company does not require Distributors to purchase or maintain compulsory inventory beyond the initial welcome kit. Distributors are not required to purchase products as a condition of receiving commissions.
10 Commission Structure — 7-Level Sales Bonus
10.1 Basis of Commission Commissions are calculated solely on the Net Sales Value (NSV) of products sold by each Distributor and their downline Distributors to verified end customers. Specific commission percentages per level are published in the Company's current Compensation Plan document, which forms part of this agreement.

* Commission percentages are specified in the Compensation Plan schedule. Rates are subject to revision with 30 days' advance notice.
10.3 Active Status Requirement A Distributor must maintain Active status (minimum qualifying sales within the rolling 90-day period) to earn commissions on their downline levels. Inactive Distributors forfeit downline commissions for that period only; accrued commissions already credited are not affected.
10.4 No Commission on Recruitment No commission, bonus, or incentive is paid to any Distributor solely for recruiting a new member. Commissions are paid only when products are sold to end customers and after level verified.
10.5 Commission Payment Earned commissions are calculated monthly and disbursed within 30 days of the close of the commission month via NEFT/RTGS/UPI to the Distributor's registered bank account. Minimum payout threshold: ₹1000. Amounts below threshold carry forward to the next cycle.
10.6 TDS Deduction TDS will be deducted on commission payments as applicable under the Income Tax Act, 1961. Form 16A will be issued annually. Distributors are responsible for their own income tax filings.
10.7 GST on Commission Distributors earning above the GST registration threshold are required to register under GST and provide their GSTIN to the Company. GST on commissions will be handled per applicable law.
Legal Notice: Any Distributor found misrepresenting the Company's income opportunity — including showing false income projections, guaranteeing returns, or claiming that joining fees generate passive income — will be immediately terminated and may face civil and criminal action under the Consumer Protection Act 2019 and IPC.
11 Distributor Code of Conduct

Every Distributor must strictly follow these obligations:

The following activities are strictly prohibited and will result in immediate termination:

13 Distributor Termination & Exit
13.1 Voluntary Resignation A Distributor may resign at any time by providing written notice to the Company. Commissions accrued up to the date of resignation will be paid in the normal cycle.
13.2 Termination by Company The Company may terminate a Distributor's agreement with 15 days' written notice for non-performance, or immediately for breach of the Code of Conduct, fraudulent activity, or violation of applicable law.
13.3 Effect of Termination Upon termination, the Distributor loses the right to commissions from their downline. The downline network does not transfer to the terminated Distributor's upline automatically — the Company will determine network restructuring at its sole discretion.
13.4 Non-Solicitation For 12 months following termination, the former Distributor must not solicit or recruit any active SHS Marketing Distributor to join a competing direct selling entity.
14 General Provisions
14.1 Amendments These terms may be updated periodically. Distributors and Customers will be notified of material changes at least 15 days in advance via registered contact details.
14.2 Severability If any clause is found invalid under applicable law, the remainder of these terms shall continue in full force.
14.3 Entire Agreement These terms, along with the Compensation Plan schedule and the invoice/order confirmation, constitute the entire agreement between the Company and the participant.
14.4 Dispute Resolution Disputes shall first be referred to the Company's Grievance Officer. If unresolved within 30 days, the matter may be referred to mediation. Subject to consumer protection laws, courts at the Company's registered office location shall have jurisdiction.
14.5 Governing Law This agreement is governed by the laws of India.
